Terms of Service

"Delegate" is the brand. The legal entity providing the service is Trydelegate, LLC (a Pennsylvania limited liability company). Throughout these Terms, "we", "us", and "our" refer to Trydelegate, LLC. By using the service, you agree to these Terms. If you do not agree, do not use the service.

Delegate provides AI-powered conversational agents that handle inbound SMS and voice communications on behalf of your business. The Service includes a CRM, dashboard, and supporting infrastructure.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@delegate.ai of any unauthorized access.

You may not:

• Use the Service for spam, harassment, or any communication that violates TCPA, CAN-SPAM, GDPR, or applicable telecommunications law.
• Send messages to contacts who have not provided consent under applicable law.
• Use the Service to engage in fraud, deception, or impersonation.
• Reverse engineer, scrape, or attempt to extract our proprietary AI prompts or models.
• Resell the Service without an executed white-label agreement.
• Use the Service to send messages about prohibited categories (gambling, adult content, illegal substances, weapons) without prior written approval and verified compliance.

Violations may result in immediate suspension without refund.

Prices are listed at delegate.ai/pricing and confirmed in your reservation/intake process. We offer monthly, annual, and annual prepaid options.

• Setup fees are non-refundable once setup work has begun (typically within 24 hours of payment).
• Monthly fees are billed in advance.
• Annual contracts run for the full 12-month term and may not be canceled mid-term except for material breach by us.
• Overage charges (text conversations, voice minutes, additional numbers) are billed in arrears at the rates published in your tier.
• We may update pricing for new clients at any time. Existing clients keep their original pricing for the duration of their current contract.

All payments are non-refundable. This includes setup fees, monthly fees, annual contracts (in full or in part), and add-ons. We do not pro-rate refunds for partial months or canceled contracts.

If we materially fail to deliver the Service for reasons within our control and cannot resolve the issue within 30 days of written notice, you may terminate and receive a credit for the unused portion of pre-paid fees only — refunds are not issued in cash.

We target 99% monthly uptime but do not currently offer formal SLA credits. Outages of upstream providers (Twilio, Anthropic, Vapi, etc.) are outside our control.

You retain ownership of your customer data, conversation content, and any custom prompts you provide. You grant us a limited license to use this data solely to deliver the Service and improve aggregate performance (no individual content shared externally).

We retain ownership of the platform, base prompt templates, AI training methods, and CRM interface. Customizations we make for you are licensed for use during your active contract.

You are responsible for ensuring you have lawful authority to communicate with the contacts you upload, including:

• Express written consent for marketing SMS under TCPA where required.
• Compliance with CAN-SPAM for email.
• GDPR / CCPA / state privacy law compliance where applicable.
• Honoring all opt-out requests (the platform enforces STOP automatically; you must not attempt to bypass).
• A2P 10DLC brand and campaign registration — we facilitate, you remain responsible for accuracy of submitted information.

You may terminate month-to-month plans at any time after the initial 90-day term, effective at the end of the current billing cycle. Annual plans run for the full term.

We may terminate immediately for: violation of acceptable use, non-payment, fraud, or risk to our other clients.

Upon termination, we retain data per our Privacy Policy retention schedule. You may request export within 30 days of termination.

The Service is provided "as is" without warranties of any kind. AI agents make mistakes. We do not warrant that the agent will book every appointment, never misread a customer message, or never escalate inappropriately. You are responsible for monitoring your agent's performance and for the business outcomes of conversations.

To the maximum extent permitted by law, our total liability for any claim related to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

You agree to indemnify and hold us harmless from claims arising out of: (a) your use of the Service in violation of these Terms or applicable law, (b) content you upload or messages your agent sends on your behalf, (c) your customers' claims against you.

These Terms are governed by the laws of Pennsylvania, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Monroe County, Pennsylvania.

We may update these Terms. Material changes will be communicated via email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
